Julie has extensive experience advising clients ranging from small startups to bulge bracket investment banks and large public companies in a variety of industries, including energy, healthcare, technology, manufacturing, real estate, media, cable and telecommunications, entertainment, real estate, consulting and other services. She has advised clients in connection with their initial formations, domestic and international public and private mergers and acquisitions, partnerships, joint ventures and strategic alliances, management buyouts, debt and equity financings (including angel investments, venture capital, private equity and public offerings), technology transfer and licensing, corporate governance matters, securities and stock exchange compliance and a diverse range of commercial transactions. She has counseled a number of companies from inception through their initial public offerings or successful sales. For example, during the height of the dotcom era, Julie represented Netease.com, the leading Internet content provider in China with over 80 million registered users, in its initial public offering on the Nasdaq Stock Market. Her active projects include representation of:
a publicly held Fortune 200 company in connection with its domestic and international acquisitions of, and investments in, a number of privately-held companies and divestitures ranging in size from $20-80 million,
a real estate private equity fund in connection with 10-15 investments and projects averaging approximately $80 million annually, and
a publicly held technology products and services company in the energy industry in connection with its public and private offerings, international and domestic mergers and acquisitions, joint ventures, stock exchange compliance, corporate governance and general corporate and commercial matters.
Julie has built a strong reputation for delivering high quality legal services in a timely and efficient manner and offers her clients a practical, down-to-earth approach to meeting their business objectives while appropriately addressing the legal and business risks.
Julie was honored by the Denver Business Journal as a "40 under 40" in 2002, was one of three finalists in the "Mile Hi Leader" category for its Outstanding Women in Business Awards in 2005 and was honored by LawWeek Colorado as a Woman of Accomplishment in 2009 and a Finalist for Top Woman Lawyer in 2010. She served on the Associate Board of the Boys & Girls Clubs of Metro Denver for over five years and remains an active supporter of the Clubs. She currently serves on the Advisory Board of Stellar Connections and is a member of CTEK and Colorado Women in Technology.
Prior to joining the firm in January 2003, Ms. Herzog practiced corporate and securities law for over eight years at top tier international law firms (Morrison & Foerster's Denver office and Jones, Day, Reavis & Pogue's Chicago office) and regional firm Davis, Graham & Stubbs. She received her juris doctor, cum laude, from Southern Methodist University in 1994, where she was Law Review Managing Editor and elected to Order of the Coif (top 10%). Julie received Bachelors of Science in Accounting and Political Science with honors from Oklahoma State University in 1991. In 2003 she earned a Certificate in Authentic Leadership from Naropa University.
Julie has published law review articles on securities and oil and gas law and is often quoted in the regional and national press on corporate governance and securities issues. She is a frequent lecturer on entity formations, technology transactions, mergers and acquisitions and venture capital financings to trade organizations and bar associations.
Julie enjoys spending time with her husband and toddler triplets, yoga, golf, running with her black lab, skiing, cooking and reading.
