Representative Matters
Mr. Brenman's practice focuses on business law, including entity organization, structuring and governance matters and financing transactions. He counsels clients concerning equity, debt and “hybrid” finance transactions, mergers and acquisitions and asset purchase and sale transactions and has represented both private and publicly held companies. His experience spans transactions involving all sizes of entities, from small, single owner businesses through large, publicly traded companies. He has represented clients involved in initial and secondary public offerings and complex mergers and acquisitions, including representation of a publicly held NASDAQ listed target company in a $100,000,000 "going private" leveraged buyout. Jeff is presently counsel to a private equity fund company that has raised over $50 Million in the last five years through various partnerships, including funds raised to invest in “fund of funds” partnerships (including hedge and arbitrage funds), real estate and oil and gas. He has represented clients in many industries, including medical products, manufacturing, oil and gas, computer hardware and software, communications, real estate, professional practices, architecture and construction.
Mr. Brenman also provides counsel concerning general business matters, including employment and contractor relationships, licensing, joint ventures and strategic partnerships.
Mr. Brenman has extensive experience with federal and state securities law compliance for both public and private companies, and has represented clients (including businesses and individuals) in civil business litigation and arbitration proceedings, including complex litigations, securities arbitration and SEC administrative proceedings.
Mr. Brenman has a background in the life sciences. He received his undergraduate degree in Molecular, Cellular and Developmental Biology. He worked in the electron microscopy laboratory in the Pathology Department at The Children’s Hospital in Denver for seven years before deciding to pursue a career in law.
Mr. Brenman has been a practicing attorney in Colorado continuously since 1984. He is a graduate of Denver University College of Law (J.D., 1984, Order of St. Ives), and holds a Bachelor’s Degree (B.A., 1975, with distinction) from the University of Colorado at Boulder, where he majored in Molecular, Cellular & Developmental Biology, with minors in chemistry and biology.
Jeffrey's outside interests include the arts (both visual and performing), music, ballroom dancing (with a passion for Argentine Tango), reading, photography and outdoor activities (skiing, golfing, hiking, bicycling and motorcycling).
