Each member of the Firm provides general corporate advice and assistance with all manner of transactions. We bring to our representations an intimate understanding of the needs of our clients. In a nutshell, we do not believe that a good lawyer's role is confined only to the preparation of legal documents. To the contrary, by properly understanding the financial impact of differing legal structures, we seek to partner with our clients in the early stages of corporate planning to maximize returns with an acceptable degree of legal risk.

We have extensive experience structuring and organizing legal entities ranging from start-up companies to multi-national joint ventures. We also have represented corporations around the world in complex mergers and acquisitions, reorganizations and management buyouts.

As outside general counsel, we provide a full range of legal entity services, including executive compensation agreements, stock incentive plans, entity maintenance and compliance and assistance with director/manager and equity interest holder meetings.

We also have assisted clients with leasing and other start-up issues, such as making introductions related to banking relationships, financial modeling, business plans and marketing. Our contacts can often provide valuable synergy and opportunity for our start-up, as well as more established, clients.
